Welcome to DreamCrop Productions. These Terms and Conditions ("Terms") govern your use of our website (www.dreamcropproductions.com) and the video production, editing, and creative services provided by DreamCrop Productions ("Agency," "we," "us," or "our"). By accessing our site or booking our services, you ("Client," "you") agree to be bound by these Terms.
1. Acceptance of Terms
By accessing, browsing, or utilizing the services of DreamCrop Productions, you acknowledge that you have read, understood, and agree to comply with these Terms in their entirety. If you do not agree with any part of these Terms, you must not use our website or engage our services.
2. Service Agreements and Proposals
All video production projects are subject to a separate, customized Statement of Work (SOW), Proposal, or Production Agreement. These documents will outline specific project scopes, deliverables, timelines, and budgets. In the event of a conflict between these general Terms and a specific SOW, the SOW shall prevail.
3. Payments, Deposits, and Billing
Unless otherwise specified in writing, a non-refundable deposit (typically 50% of the total project cost) is required to secure production dates and commence pre-production. The remaining balance is due upon project completion or net-30 days as stipulated in your invoice. Late payments will incur a 5% monthly late fee. Final high-resolution deliverables will not be released until full payment is received.
4. Cancellations and Postponements
If the Client cancels or postpones a scheduled shoot within 72 hours of the call time, the Client is responsible for 100% of the scheduled crew and equipment costs. Postponements made prior to the 72-hour window may be subject to rescheduling fees depending on hard costs already incurred by DreamCrop Productions.
5. Revisions and Post-Production
Standard project quotes include two (2) rounds of minor revisions during post-production. Revisions requested beyond these two rounds, or requests that constitute a significant change in scope (e.g., a complete re-edit or reshoot), will be billed at our standard hourly editing rate. All revision requests must be submitted within 14 days of receiving a draft.
6. Intellectual Property and Copyright
Upon full payment, the Client receives a perpetual, non-exclusive, worldwide license to use the final edited video deliverables for their intended purpose. DreamCrop Productions retains full copyright ownership of all raw footage, project files, and the underlying creative composition. Raw footage is not released to the client unless explicitly negotiated and purchased under a separate Raw Footage Buyout agreement.
7. Portfolio Usage Rights
DreamCrop Productions reserves the right to use any produced video, including behind-the-scenes footage and final deliverables, in our professional portfolio, website, social media, and promotional reels. If the project contains highly sensitive information, a Non-Disclosure Agreement (NDA) must be signed prior to production to waive this clause.
8. Client Responsibilities
The Client is responsible for providing all necessary branding assets, product samples, venue access, and required personnel on time. Any delays caused by the Client's failure to provide these elements may result in timeline extensions and additional fees. The Client also warrants that they hold the rights to any music, logos, or materials they provide to us for inclusion in the video.
9. Liability and Indemnification
DreamCrop Productions is not liable for any indirect, incidental, special, or consequential damages arising out of the use of our services. The Client agrees to indemnify, defend, and hold harmless DreamCrop Productions and its crew from any claims, damages, liabilities, and expenses arising from the Client's breach of these Terms or the content provided by the Client.
10. Force Majeure
Neither party shall be held liable for any failure to perform its obligations under these Terms where such failure is caused by an event beyond its reasonable control, including but not limited to acts of God, severe weather, natural disasters, pandemics, strikes, or equipment failure despite proper maintenance. In such cases, efforts will be made to reschedule production at the earliest mutual convenience.
11. Archiving and Storage
DreamCrop Productions maintains project files and raw footage on our servers for a period of six (6) months following final delivery. After this period, we are under no obligation to archive or retain project files. Clients who wish to ensure long-term storage must request our archival services or purchase the raw project files.
12. Independent Contractor Status
DreamCrop Productions operates as an independent contractor. Nothing in these Terms shall be construed to create a partnership, joint venture, employer-employee relationship, or agency relationship between DreamCrop Productions and the Client.
13. Communication and Response Times
We strive to provide premium service and timely communication. Our standard response time for emails and inquiries is 24-48 business hours. Urgent project communications should be directed to the lead producer assigned to your account. We are not responsible for delays caused by missed communications on the Client's end.
14. Dispute Resolution and Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any disputes arising from these Terms or our services shall be resolved through binding arbitration in Miami-Dade County, Florida, before resorting to litigation.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole, and such provisions shall be deleted without affecting the remaining provisions herein.
16. Modification of Terms
DreamCrop Productions reserves the right to modify these Terms at any time. We will notify users of significant changes by updating the "Last Updated" date at the top of this page. Your continued use of our services following any changes signifies your acceptance of the new Terms.
